Corporate governance in Cyprus.
Structure. Substance. Compliance.
Cyprus companies must be properly governed to maintain tax residency, meet regulatory requirements and protect directors from personal liability. Here's what good corporate governance looks like.

| Annual general meeting | Within 15 months of last AGM | Directors |
| Annual return filing | Within 12 months of incorporation date | Company secretary |
| Annual levy (€350) | 30 June | Company secretary |
| Audited financial statements | Within 12 months of year end | Accountant + auditor |
| IR4 corporate tax return | 31 March | Accountant |
| UBO register review | Ongoing — update within 14 days | Company secretary |
| Board meeting minutes | After each board meeting | Company secretary |
| Director and shareholder changes | File HE4/HE57 within 14 days | Company secretary |
| Registered office confirmation | Annual | Company secretary |

Following OECD BEPS and EU anti-avoidance directives, Cyprus companies must demonstrate genuine economic substance to justify their Cyprus tax residency status. A shell company with no real activity, no local directors exercising real authority and no meaningful presence in Cyprus risks having its tax residency challenged — both by Cyprus and by other jurisdictions where the beneficial owners live.
Corporate governance and Cyprus tax residency — the connection
Corporate governance is not just a legal formality — it is directly connected to whether your Cyprus company is genuinely Cyprus tax resident and entitled to the 15% corporate tax rate. The 'management and control' test requires that the company's central management — the board of directors — exercises genuine decision-making authority from Cyprus. If the real decisions are being made by the beneficial owner sitting in London or Frankfurt, Cyprus tax residency may not hold.
Tax authorities in other EU countries — particularly Germany, the Netherlands and increasingly the UK — are increasingly scrutinising the substance of Cyprus holding structures used by their residents. Proper governance — real directors, real meetings, real minutes, real decisions made in Cyprus — is the foundation of a defensible structure. This is not bureaucracy for its own sake. It is what makes the structure work.
